Terms of Service

The agreement governing your use of the OuiHealth website, portals, and digital services.

1. Acceptance

By accessing or using the OuiHealth website, intake forms, portals, or related digital services (collectively, the "Services"), you agree to these Terms of Service ("Terms") and to all policies incorporated by reference, including the Privacy Policy, HIPAA Notice, Medical Disclaimer, Acceptable Use Policy, Payment Terms, and other applicable documents. If you do not agree, do not use the Services.

2. Eligibility

You must be at least eighteen (18) years old and legally able to enter into a binding agreement, or be an authorized legal representative acting on behalf of an eligible person.

3. Nature of Services

OuiHealth provides home care, personal care, companion and sitter services, and related care coordination. Submission of a request, application, or form does not create a provider-client relationship. A provider-client relationship is formed only when a written service agreement is executed and care is formally accepted and initiated.

4. No Emergency Services

OuiHealth does not provide emergency medical care. In an emergency, dial 911 or proceed to the nearest emergency department immediately. Do not use the website, portals, SMS, email, or forms to communicate urgent or emergency needs.

5. Availability and Staffing

Services are subject to caregiver and clinician availability, geographic coverage, safety considerations, and operational and regulatory requirements. Requested caregivers, schedules, and visit times are preferences, not guarantees. We may modify, delay, substitute, suspend, or discontinue services for safety, regulatory, clinical, or operational reasons.

6. Clinical Decisions

Clinical assessments, care plans, and clinical decisions are made by the assigned Nurse Practitioner or other licensed clinician at their professional discretion in accordance with applicable standards of care. Information made available through the Services is for general informational purposes and is not medical advice.

7. Accounts and Security

You are responsible for protecting your account credentials and for all activity that occurs under your account. Notify us immediately of any suspected unauthorized access. See our User Account and Security Policy.

8. Acceptable Use

You agree to use the Services only for lawful purposes consistent with these Terms and the Acceptable Use Policy.

9. Fees, Billing, and Payment

Use of certain services requires payment of fees in accordance with our Payment Terms and Billing Policy, including provisions for online payments, ACH, cards, recurring billing, invoicing, late and returned payments, disputes, collections, and service suspension where legally permitted.

10. Intellectual Property

All content, software, branding, schedules, care plans, and internal systems are the property of OuiHealth or its licensors and are protected by intellectual property laws. See the Copyright and Intellectual Property Policy.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE FULLEST EXTENT PERMITTED BY LAW. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE SERVICES DO NOT REPLACE EMERGENCY OR PROFESSIONAL MEDICAL CARE.

12. Limitation of Liability

13. Indemnification

See the Indemnification Clause, which is incorporated by reference.

14. Dispute Resolution

Disputes arising out of or relating to the Services are subject to the Arbitration and Dispute Resolution Clause, which is incorporated by reference. These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws principles.

15. Termination

We may suspend or terminate access to the Services at any time for any lawful reason, including violation of these Terms, non-payment, fraud, or risk to safety.

16. Changes

We may revise these Terms. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
